Lexria makes no representation, guarantee, or warranty (express or implied) as to the legal ability, competence, or quality of representation which may be provided by any of the attorneys, law firms, or legal service providers which use Lexria’s platform to provide services to clients.

License to use service

Unless otherwise stated, Lexria, Inc. and/or its licensors own the intellectual property rights published on this service and materials used on http://www.lexria.com and the mobile application. Subject to the license below, all these intellectual property rights are reserved.

Acceptable Use

data mining
data extraction
data harvesting
“framing” (iframes)
Article “Spinning”

You must not use this service or any part of it to transmit or send unsolicited commercial communications.

You must not use this service for any purposes related to marketing without the express written consent of Lexria, Inc.

No Warranties

Lexria Inc.’s Services are provided “as is” without any representations or warranties, express or implied. Lexria, Inc. makes no representations or warranties in relation to this service or the information and materials provided on this service.

The service is provided “as is” and on an “as available” basis. We give no warranty that the service will be free of defects and/or faults. To the maximum extent permitted by law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.

Lexria, Inc. accepts no liability for any disruption or non-availability of the service resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restriction and censorship.

Nothing on this service constitutes, or is meant to constitute, advice of any kind. If you require advice in relation to any legal, financial or medical matter you should consult an appropriate professional.

Limitations of Liability and Indemnification

You hereby indemnify Lexria, Inc. and undertake to keep Lexria, Inc. indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Lexria, Inc. to a third party in settlement of a claim or dispute on the advice of Lexria, Inc. legal advisers) incurred or suffered by Lexria, Inc. arising out of any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions.

EXCEPT AS PROHIBITED BY LAW, I WILL HOLD LEXRIA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM WITH RESPECT TO ANY DATA PRIVACY, SECURITY OR DISCLOSURE OF PERSONAL INFORMATION, AND/OR FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY ME OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF LEXRIA, INC. HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF LEXRIA INC., IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO ME.

You accept that, as a limited liability entity, Lexria, Inc. has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against Lexria, Inc. officers or employees in respect of any losses you suffer in connection with the service.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this service disclaimer will protect Lexria, Inc. officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as Lexria, Inc.

Reasonableness

By using this service, you agree that the exclusions and limitations of liability set out in this service disclaimer are reasonable.

Unenforceable provisions

If any provision of this service disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of this service disclaimer.

Without prejudice to Lexria, Inc.’s other rights under these terms and conditions, if you breach these terms and conditions in any way, Lexria, Inc. may take such action as Lexria, Inc. deems appropriate to deal with the breach, including suspending your access to the service, prohibiting you from accessing the service, blocking computers using your IP address from accessing the service, contacting your internet service provider to request that they block your access to the service and/or bringing court proceedings against you.

Variation

Lexria, Inc. may revise these terms and conditions from time-to-time. Revised terms and conditions will apply to the use of this service from the date of the publication of the revised terms and conditions on this service. Assignment

These terms and conditions, together with Lexria, Inc.’s Privacy Policy constitute the entire agreement between you and Lexria, Inc. in relation to your use of this service, and supersede all previous agreements in respect of your use of this service.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Lexria, Inc. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
